Article 1: Definitions

• Platform / Website / We: EntajExpo.com and any associated websites, applications, tools, or services operated by EntajExpo.
• User / You: Any individual or legal entity that accesses, registers on, or uses the Platform, including sellers and buyers.
• Seller / Entity: Any company, factory, exporter, exhibitor, or commercial establishment that registers on the Platform to list, promote, or sell products or services.
• Buyer: Any business user that registers on the Platform to purchase or inquire about products or services listed by sellers.
• Agreement: These Seller Terms and Conditions, together with the Privacy Policy and any additional rules or policies published by the Platform.
• Order: A purchase request submitted by a buyer through the Platform.
• Shipment: Products prepared and dispatched by the seller after order confirmation.
• Return / Refund: Processes initiated by the buyer in accordance with the policies stated in this Agreement.

Article 2: Nature of the Platform and Relationship

• EntajExpo operates solely as a technical intermediary and business facilitation platform. It does not manufacture, own, sell, buy, inspect, or guarantee any products or services listed by sellers.
• All commercial transactions occur directly between sellers and buyers. EntajExpo is not a party to any sales contract.
• This Agreement governs a B2B commercial relationship only. Consumer protection laws applicable to individual consumers do not apply unless expressly required by applicable law.
• Sellers may impose their own commercial terms, provided they do not conflict with this Agreement or applicable laws.

Article 3: Seller Registration Requirements

• Sellers must be legally established businesses with full legal capacity to trade.
• The seller representative must be at least 18 years old and authorized to act on behalf of the entity.
• Sellers must provide accurate and verifiable business information, including registration, licensing, and tax-related details where applicable.
• Account names must reflect the seller’s legal or trade name. Misleading or false identities are prohibited.
• Each seller may maintain only one account, unless expressly authorized by the Platform.
• EntajExpo reserves the right to request supporting documents and to approve, suspend, or reject any registration at its sole discretion.
• Sellers are responsible for safeguarding their login credentials and must notify EntajExpo immediately of unauthorized access.

Article 4: Accuracy of Information

The seller guarantees that all information, listings, documents, and data provided on the Platform are accurate, complete, lawful, and up to date. The seller bears full responsibility for any consequences arising from inaccurate or misleading information.

Article 5: Platform Rights

• EntajExpo may modify, suspend, or discontinue any part of the Platform or its services at any time.
• The Platform may remove or restrict any content that violates this Agreement, third-party rights, or applicable laws.
• EntajExpo may suspend or terminate seller accounts without prior notice if violations are detected.
• Free services may later become paid services at the Platform’s discretion.

Article 6: Seller Obligations

• Sellers must comply with all applicable laws, regulations, and international trade rules relevant to their products and markets.
• Sellers warrant that they own or are licensed to use all intellectual property associated with their products and content.
• Product listings must be accurate, lawful, non-deceptive, and professionally presented.
• Sellers are responsible for pricing, taxes, shipping terms, warranties, returns, and after-sales obligations.
• Sellers must not list prohibited, illegal, counterfeit, or infringing products.
• Orders must be fulfilled accurately and within agreed timelines.
• Manipulation of ratings, reviews, or feedback is strictly prohibited.

Article 7: Payments and Settlements

• Payment processing may be handled by third-party payment service providers.
• Seller payouts are subject to successful order completion and expiry of dispute or return periods.
• EntajExpo may withhold or delay payments in cases of disputes, suspected fraud, or policy violations.

Article 8: Prohibited Products and Violations

• Sellers must not list products that are illegal, unsafe, restricted, or non-compliant with applicable regulations.
• The Platform may immediately suspend accounts involved in prohibited activities.
• Sellers remain solely responsible for monitoring and removing non-compliant listings.

Article 9: Third-Party Services

• The Platform may integrate third-party services such as payment processors, logistics providers, analytics tools, and hosting services.
• Use of third-party services is subject to their respective terms and policies.
• EntajExpo is not responsible for errors or failures caused by third-party providers.

Article 10: Limitation of Liability

• EntajExpo provides the Platform on an “as-is” and “as-available” basis.
• The Platform is not liable for losses, damages, or disputes arising from seller-buyer transactions.
• Sellers waive any claims against EntajExpo related to product quality, delivery, or contractual disputes.

Article 11: Indemnification

The seller agrees to indemnify and hold harmless EntajExpo from any claims, damages, losses, or expenses arising from:

• Breach of this Agreement
• Violation of laws or third-party rights
• Misrepresentation or unlawful conduct

Article 12: Intellectual Property

• All Platform content, trademarks, software, and designs are the exclusive property of EntajExpo or its licensors.
• Sellers grant EntajExpo a non-exclusive, worldwide, royalty-free license to use, display, translate, and promote seller content for Platform operations and marketing.
• Unauthorized use of Platform intellectual property is prohibited.

Article 13: Data Protection and Privacy

Use of the Platform is subject to the EntajExpo Privacy Policy. Sellers acknowledge and consent to data processing as described therein.

Article 14: Cookies and Tracking

The Platform uses cookies and similar technologies to operate and improve services. Details are available in the Privacy Policy.

Article 15: Complaints and Disputes

• EntajExpo may facilitate communication between sellers and buyers but is not obligated to resolve disputes.
• Sellers agree to cooperate in good faith to resolve disputes.
• The Platform may provide transaction records to competent authorities if legally required.

Article 16: Termination and Access Restriction

EntajExpo may suspend or terminate access to the Platform at any time for violations of this Agreement, without liability or compensation.

Article 17: Governing Principles

This Agreement is governed by generally accepted principles of international commercial law, without reference to any specific national jurisdiction, unless otherwise required by applicable mandatory law.

Article 18: General Provisions

• If any provision is deemed invalid, the remaining provisions remain effective.
• Failure to enforce any right does not constitute a waiver.
• EntajExpo may update this Agreement at any time by publishing a revised version.
• Continued use of the Platform constitutes acceptance of the updated terms.
